I'm looking for a CPA firm with clients that own businesses leveraging the ROBS program. Want to get some guidance and insights on the financial accounting in this setup. ^redacted‌ I have my acquisition vehicle created with ROBS. So far, there was nothing specific for my CPA to do with regards to the source of funds. A ROBS entity has‌ to be a C-corp, so the appropriate accounting and tax practices apply. What is unique is the types of investment/business activities this entity can engage in. These are reviewed and approved by the ROBS provider, Benetrends in my case. I expect that Guidant and other players in this field behave the same. For example, an investment through a SAFE note was not approved. Investments into real estate used for long-term leases are not allowed, while short-term (AirBnB like) are ok. Most likely, any investment that has any relation to real estate that the business won't occupy itself will be scrutinized and disallowed. A 401(k) plan must be offered to all employees.

^redacted‌ We work with buyers on post close accounting and tax and recently supported an acquisition that utilized ROBS for the equity injection. There are specific compliance requirements around the C corp structure and 401k rollover that you need to get right from the start to avoid prohibited transaction issues and we help buyers with that.
