Hi all — I’m raising $400K in equity to complete the acquisition of a portfolio of 3 franchised wellness studios in Manhattan. I’m stepping in as the full-time owner-operator and am looking for a small group of aligned investors who want exposure to a cash-flowing, membership-based wellness platform in a top U.S. micro-market.
Why this deal:
1. Category leader and recurring revenue: The business is a membership-first model with highly repeatable sessions and strong retention dynamics. (80% of revenue in 2025 was recurring membership)
2. Prime NYC footprint: The studios sit in dense, affluent corridors with strong walkability/transit access. The 3-studio network is positioned to capture demand across the UWS corridor with minimal member travel friction.
3. Clear operating upside: Current ownership has already started cost actions reducing fixed costs and there is additional upside through utilization, conversion, staffing optimization, and local partnerships (PT, boutique fitness, luxury buildings, corporate wellness) driving NOI from $366K to $615K in the first year of ownership.
Capital raise (use of funds):
1. Working capital reserve to support smooth transition (payroll/rent/seasonality)
2. Growth initiatives to scale customer conversion and partnerships immediately post-close
3. Closing/transition cushion to hit the ground running
Investor structure (summary):
12-month standby (no cash distributions in Year 1)
10% preferred return, compounding annually on unpaid capital
Target: all principal and accrued pref returned by end of Year 5 (paid from free cash flow)
Once repaid, the $400K round converts into 10% equity of the business
Investors then receive ongoing profit distributions (semi-annual) based on equity ownership for the life of the business (or until exit)
Status and timing:
Deal is in final stages with lender process underway; aiming to close in the near term. I’m speaking with investors now and expect to allocate remaining spots quickly.
