Seeking SHA templates (traditional search fund, acquisition phase)

I’m in the final stages of due diligence on a target in Europe and am now turning my attention to setting up an acquisition structure in a new geography. There are very few (if any) local precedents for traditional search fund structures, so adapting terms to fit the local legal framework will require some creative work. I’m particularly interested in sourcing standard SHA (shareholders’ agreement) templates used during the acquisition phase from different geographies, as inspiration for drafting a local version. I’m mainly looking to understand how others have structured share classes, shareholder loans, and similar elements but seeing other elements of the agreement would be helpful too. Would anyone feel comfortable sharing a standard template or pointing me to useful examples? Thanks!

Hi Monika! I didn't manage to get to know you in person in Fontainebleau for few weeks. Here you can find current german SME M&As. I hope it helps! This morning, read this one - new templates on M&A for SME in Germany. Maybe helpful for you as well: https://bm-a.de/2025/03/presseinformation-bundesverband-ma-praesentiert-neue-musterdokumentation-fuer-small-und-midcap-transaktionen/
