I am looking to help a client Small business with (1 majority / 1 minority ownership) update their shareholders agreement and wanted to address the major business issues before handing it off to the lawyers. Any examples /templates would be appreciated.

Hey David - I may be able to help here. Have the shareholders discussed things like how big decisions will be made? Do they both operate or is one silent? Have minority shareholder rights been discussed?

David - Honestly, given how state specific these matters are, I think the template may overwhelm the client. Shoot for a checklist in the instance to discuss practical operational issues. To avoid swamping the community, Ill shoot you a DM with some high-level thoughts. Best of luck.
