Seeking Investors for a High-Quality Software Deal Overlooked by Traditional Search Criteria
Most in the search and independent sponsor community chase 1–5MM EBITDA deals with strong cash flow. But some of the best opportunities are hiding in plain sight—especially in underoptimized software businesses sitting at an inflection point.
I’m currently working on a deal that fits that mold:
$9MM in revenue / $300K EBITDA – undercapitalized but not under-demanded
SaaS company in the education and training space (where I’ve operated for two decades)
Control available at 1x revenue
Plan to inject $2MM to strengthen the team and build out GTM
Positioned to organically grow to $20MM+ in revenue in 5 years
Strong operating leverage—margins expand meaningfully with growth
Potential exit at $50MM EV (2.5x revenue) for a 5x return on an organic basis
I won't be stepping in as the day-to-day operator, but I bring a proven track record of scaling similar businesses (including one I doubled and sold to a strategic), a trusted bench of talent, and hands-on involvement as an independent sponsor. I know the levers to pull and the pitfalls to avoid - with a 20 year track record to prove it.
