When I’m evaluating an opportunity, it’s a pain to quickly assess the desirability of the deal (from a pure numbers standpoint) when you want to meet a seller’s valuation objectives AND consider the unique structure of the deal (especially very early in the evaluation process).
I’ve yet to figure out a fast way to evaluate whether a deal pencils given all the different scenarios for how the deal could be structured without doing a deeper dive / financial modeling exercise.
Maybe I’m over complicating it - but I wish it were a bit easier to very quickly get a “back of the envelope” sense for (1) investor equity IRR / MOIC, (2) debt service obligations post-close (seller financing and senior debt), and (3) margin of safety EBITDA after paying yourself and factoring in maintenance / growth capex.
Others may not feel like they have the same issue - but I do wish I had a simpler way to get those numbers “in the ballpark” without as much effort
