• Target working capital aligned to historical levels
• Escrow: ~$5M tied to transition support and AI/process/technology enablement initiatives
Capitalization highlights
• Senior secured debt sought: ~$20M
• Equity funded on buyer balance sheet: ~$55M (no external equity raise required)
• Implied leverage: ~1.7x total debt / EBITDA
• Equity is ~73% of total capitalization
• No dividends/distributions or liquidity to equity at closing
• Optional: minority equity co-investment up to ~20% of buyer equity (size/terms flexible)
Debt structure requested
• Senior secured term loan or unitranche
• 5–7 year maturity with light, cash-flow-based amortization
Timing
