Buyer wants as close to bottom line as possible and seller wants as close to topline. My approach is to look at what the unknown or risk in the particular business and base it around that.

I am a fan of change in adjusted EBIT with a set floor and cap. Furthermore try to define mayor known adjustments (eg director salary) and the logic of adjustments with the LOI/legal documents to avoid fights in a few years, where everybody seems to have forgotten the verbal reasoning/logic behind it.
