One question I wish brokers asked sellers earlier:
“If the seller and the most technical employee were both unavailable for 30 days after close, which revenue, delivery, or compliance workflows would stop, and who could restore or change them?”
A transition period is not the same as operational continuity. Before close, the buyer should know which critical systems and accounts the company controls, where the documentation lives, and who besides the seller can operate them.
That answer can change the transition agreement and the first-100-day budget. Have you seen this dependency surface only after LOI?
