I wish we did a little more diligence on the technology hardware for each of the three companies we acquired. I don't know if I would have asked for a price concession, but it would have helped from a budget perspective to know we'd have to replace certain outdated hardware.

Working with a client on this today, and they are happy that they had a well drafted "out-clause" on unsuccessful due diligence for a full return of their deposit. By "full return" - I mean the deposit amount as well as a carve-out that the seller had inserted into the LOI that allowed them to keep a certain amount of the deposit for their time in providing assistance with due diligence. The buyer responded to the carve out by itemizing what info they wanted to receive and a timeliness in response. The seller was slow to provide any info ...rendering their carve-out void...
